Terms of service

These terms are the agreement between you and Pragmatech for the use of Counterpoint. Please read them with the privacy policy.

1. Agreeing to these terms

You agree to these terms when you create a store or use Counterpoint. If you do so for a business, you confirm that you have the authority to bind it. If you do not agree, do not use the service.

2. The service

Counterpoint is cloud retail software: a register that works offline, catalogue and stock, customers and loyalty, reporting, and the integrations and add-ons listed for your plan on the pricing page. The product and these pages say plainly when something is not available yet; we do not promise a feature or integration that is not switched on for you.

We improve the service continually and may change or retire features. If we remove something you rely on, we will tell you in advance.

3. Your account

Give us accurate information and keep it current. You are responsible for your staff accounts and for everything done with your credentials, so keep passwords secret, turn on two-step sign-in, and tell us promptly if you suspect unauthorised use.

4. Trial, plans and fees

Every plan starts with a 14-day trial. When it ends, we invoice the plan you chose at the price shown when you signed up: a flat price per shop on Starter, and a price per branch on Growth and Scale, monthly or yearly (a year is billed as ten months). Prices are in Egyptian pounds and exclude VAT, which is added where the law requires it.

There is no contract. You can cancel at any time and the cancellation stops the next renewal. The period you have already been invoiced for is not refunded, unless we agree otherwise or the law requires it.

We will give you at least 30 days’ notice of a price change before it applies to your next renewal.

If an invoice is not paid, we may switch off the paid add-ons and then suspend writing to your shop. A suspended shop can still be read and its data exported, and paying the outstanding balance restores it.

5. Your data

Your shop’s data is yours. You give us the right to host and process it only as far as needed to run Counterpoint for you, as the privacy policy describes. You are responsible for collecting it lawfully and for any consent you need from your customers.

You can export your data at any time. If you close your account, your shop is kept for 30 days in case you change your mind and then deleted.

6. Acceptable use

You agree not to:

  • break the law or use Counterpoint to sell or promote anything illegal;
  • send unsolicited or deceptive messages, or message customers who have not agreed to hear from you;
  • try to get around plan limits, security measures or other tenants’ separation, or probe the service for weaknesses without our written permission;
  • overload the service, or resell or sublicense it without our agreement;
  • infringe anyone else’s rights.

7. Your own providers

Payment providers, couriers (such as Bosta and Mylerz), WhatsApp, accounting systems and any other service you connect stay your accounts under your agreements with them, and their terms and fees apply. Counterpoint does not hold or move your takings, is not a party to your contracts with those providers, and is not responsible for their services, decisions or outages. Courier bookings, cash on delivery and delivery itself are between you, the courier and your customer.

8. Tax and legal duties

Counterpoint helps you record sales and VAT, but you remain responsible for charging the right tax, issuing valid invoices and receipts, filing returns, and meeting any electronic invoicing or filing obligation that applies to you.

9. Availability and support

We work to keep Counterpoint available, and the register keeps selling when the connection drops, but we cannot promise the service will be uninterrupted or error-free. We will schedule maintenance sensibly and give support by email at support@pragmatech.work.

10. Our rights in the software

Counterpoint, its design and its code belong to us and our licensors. While you subscribe, you may use it for your own business. You keep your trademarks and data; we may use your feedback to improve the service without owing you anything for it.

11. Disclaimer and limit of liability

The service is provided “as is”. To the extent the law allows, we are not liable for indirect or consequential loss, or for lost profit, sales or data. Our total liability for any claim is limited to the fees you paid us in the twelve months before it arose. Nothing in these terms limits liability that cannot be limited by law.

12. Suspension and ending

You can stop using Counterpoint and cancel at any time. We may suspend or end your access if you break these terms, do not pay, or put the service or other users at risk, and we will tell you why where we can. What these terms say about your data, payment, liability and the governing law continues after the agreement ends.

13. Changes to these terms

We may update these terms. If a change matters, we will email the account owner at least 30 days before it applies. If you keep using Counterpoint after that date, you accept the new terms.

14. Governing law

These terms are governed by the laws of Egypt, and the courts of Cairo have jurisdiction, without affecting any right you have as a consumer or under mandatory law.
